BINDING AGREEMENT & ARBITRATION NOTICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CREATING AN ACCOUNT, PURCHASING A TICKET, OR USING THE OUTOUT PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. SECTION 10 CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT IMPACTS YOUR LEGAL RIGHTS TO RESOLVE DISPUTES. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE SERVICES.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and OutOut Ltd. ("OutOut", "we", "us", or "our"), concerning your access to and use of the OutOut mobile application, website, and related services (collectively, the "Services").

2. Eligibility & Account Responsibilities

Age Restriction: You must be at least 18 years of age (or the age of legal majority in your jurisdiction for consuming alcohol and entering licensed premises) to use the Services. By creating an account, you represent and warrant that you meet this requirement. Any misrepresentation of age is a material breach of these Terms resulting in immediate account termination without refund.

Account Security: You are strictly liable for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access. OutOut is not liable for any loss or damage arising from your failure to safeguard your account.

3. Venue Liability Disclaimer (CRITICAL)

OutOut acts solely as a technology platform and ticketing intermediary connecting users with third-party venues, event organizers, and promoters ("Venues").

  • Right of Refusal: Venues retain the absolute right to refuse entry or eject any person at their discretion (e.g., due to intoxication, failure to meet dress codes, lacking valid physical ID, or venue capacity limits). OutOut is NOT LIABLE if you are denied entry, and no refunds will be issued by OutOut in such cases.
  • Event Changes & Cancellations: OutOut is not responsible for event cancellations, line-up changes, venue closures, or misrepresentations made by the Venue. Any recourse or refund must be sought directly in accordance with the Venue's specific policies.
  • Personal Injury & Property Loss: OutOut assumes ZERO liability for any personal injury, property damage, loss, theft, or illegal acts that occur at an event or Venue discovered or ticketed through the Services. You attend all events at your own sole risk.

4. Ticketing, Payments & Refunds

All ticket sales are final. OutOut does not offer refunds or exchanges unless an event is entirely canceled by the Venue prior to commencement. In the event of a cancellation, the face value of the ticket may be refunded, but OutOut booking fees, processing fees, and platform surcharges are strictly non-refundable under all circumstances.

Chargebacks filed fraudulently or without merit will result in immediate account termination and potential civil litigation to recover disputed funds and administrative costs.

5. User-Generated Content & Licensing

By submitting reviews, photos, comments, or RSVP statuses ("User Content") to the Services, you grant OutOut a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, copy, modify, distribute, publish, and process the information in connection with operating and promoting the Services.

You warrant that you own or possess the necessary legal rights to all User Content you submit. OutOut assumes no liability for defamatory, infringing, or illegal User Content and reserves the unilateral right to delete any content without notice.

6. Acceptable Use Policy

You agree NOT to use the Services to:

  • Engage in unauthorized scraping, data mining, or use of automated bots to extract data.
  • Reverse engineer, decompile, or attempt to derive the source code of the App.
  • Resell tickets purchased through OutOut at an inflated price (scalping), unless explicitly permitted by a verified resale feature.
  • Harass, stalk, threaten, or defraud other users or Venues.

Violation of this section entitles OutOut to pursue injunctive relief and civil damages.

7. Intellectual Property

All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and trademarks (the "OutOut IP") are owned by or licensed to OutOut Ltd., and are protected by copyright and trademark laws. You are granted a limited, non-transferable, revocable license to access the Services for personal, non-commercial use only.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. OUTOUT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DO NOT WARRANT THE ACCURACY OF VENUE WAIT TIMES, VIBE RATINGS, OR EVENT DESCRIPTIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUTOUT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF OUTOUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO OUTOUT FOR TICKETING FEES IN THE SIX (6) MONTHS PRIOR TO THE CAUSE OF ACTION.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered in London, UK, except that you may assert claims in small claims court if they qualify.

Class Action Waiver: You agree that any proceedings to resolve disputes will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

11. Indemnification

You agree to defend, indemnify, and hold harmless OutOut, its affiliates, and their respective officers, directors, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) your use of the Services; (3) your breach of these Terms; or (4) your violation of any laws or the rights of a third party.
